Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Relay platform, website, and related services (collectively, the "Service") provided by Relay ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. The Service
Relay provides an AI-powered customer acquisition and revenue operations platform designed for service businesses. The Service includes AI-driven lead engagement, call answering, lead qualification, appointment booking, follow-up automation, CRM integration, customer reactivation, and related revenue optimization capabilities.
The Service is provided on a subscription basis. Specific features and capabilities depend on the subscription plan you select. We reserve the right to modify, update, or discontinue features with reasonable notice.
2. Revenue Launch™ Implementation
New Relay clients begin with our Revenue Launch™ implementation process — a one-time professional service that configures, integrates, and optimizes your AI Revenue Platform. This implementation is required and is separate from your ongoing monthly subscription. The scope and deliverables of Revenue Launch™ are outlined in your service agreement.
3. Account Registration
You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
4. Subscription and Payment
Subscription fees are billed monthly in advance unless otherwise specified. All fees are in U.S. dollars and are non-refundable except as required by law. We may change our fees with 30 days' notice. Your continued use after a fee change constitutes acceptance of the new pricing.
The Revenue Launch™ implementation fee is a one-time charge billed at the start of your engagement. This fee is non-refundable once implementation work has commenced.
5. Cancellation and Termination
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service until that date. No refunds are provided for partial billing periods.
We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or if required by law. We will provide reasonable notice where practicable.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Use the Service to send unsolicited communications (spam) or engage in deceptive practices
- Attempt to reverse engineer, decompile, or extract the source code of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to process or store data in violation of applicable privacy or data protection laws
- Resell, sublicense, or make the Service available to third parties except as expressly permitted
7. Intellectual Property
The Service, including all software, algorithms, designs, text, graphics, logos, and other content, is owned by Relay or our licensors and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it as described.
You retain ownership of your business data. You grant us a limited license to use your data as necessary to provide the Service. We may use aggregated, anonymized data derived from the Service to improve our platform and develop new features.
8. Third-Party Integrations
The Service integrates with third-party platforms and services (such as CRM systems, phone systems, calendars, and lead sources). We are not responsible for the availability, accuracy, or functionality of these third-party services. Your use of any third-party service is subject to that provider's terms.
9. AI and Automation Disclosures
The Service uses artificial intelligence and automation to engage with leads, prospects, and customers on your behalf. You are responsible for:
- Ensuring compliance with applicable laws regarding AI-powered communications and call recording
- Configuring the Service to accurately represent your business, services, and pricing
- Reviewing and approving message templates and conversation flows used by the AI
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. RELAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST REVENUE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Relay and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Delaware.
14. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after the effective date of changes constitutes acceptance of the updated Terms.
